1. Scope

These Terms of Service ("Terms") govern access to and use of the APEX website, mobile applications, and related services (collectively, the "Services") operated by APEX Coach AI, Inc. ("APEX," "we," "our," or "us").

Access to and use of the APEX software platform by schools, colleges, and athletic programs is governed exclusively by a separate written Subscription Agreement between APEX and the applicable institution.

In the event of any conflict between these Terms and a signed Subscription Agreement, the Subscription Agreement controls.

2. Use of the Services

You may use the Services for lawful purposes only.

You agree not to:

  • Attempt to gain unauthorized access to systems or data
  • Interfere with Services functionality or security
  • Copy, scrape, or misuse content on the Services
  • Use the Services in violation of applicable law

APEX may restrict access to the Services at any time.

3. Intellectual Property

All content on the Services, including branding, software, and materials, are the property of APEX Coach AI, Inc.

You may not:

  • Reproduce or distribute content without permission
  • Use APEX trademarks without authorization
  • Reverse engineer any publicly accessible technical components

4. No Medical or Professional Advice

The APEX platform is designed to support athletic performance tracking and program management.

It is not a medical device and does not provide medical advice, diagnosis, or treatment.

5. Disclaimer of Warranties

The Services are provided "as is" and "as available."

To the maximum extent permitted by law, APEX disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

6. Limitation of Liability

To the fullest extent permitted by law, APEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Services.

Institutional platform liability is governed solely by the applicable Subscription Agreement.

7. Modifications

APEX may update these Terms from time to time. The updated version will reflect a revised "Last Updated" date.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
