Terms of Service

1. Scope

These Terms of Service ("Terms") govern access to and use of the APEX website, mobile applications, and related services (collectively, the "Services") operated by APEX Coach AI, Inc. ("APEX," "we," "our," or "us").

These Terms apply to all users who access the Services, including:

  • Individual Users who register for and use the Services directly, whether on a free or paid subscription plan.
  • Athletes who access the Services individually or through a coach's roster.

Access to and use of the APEX platform by schools, colleges, and athletic programs under an institutional contract is governed by a separate written Subscription Agreement between APEX and the applicable institution. In the event of any conflict between these Terms and a signed Subscription Agreement, the Subscription Agreement controls.

By creating an account or using the Services, you agree to these Terms.

2. Account Registration

To use certain features of the Services, you must create an account. When creating an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activity under your account

You may not create an account on behalf of another person without their authorization. Coaches may invite athletes to the platform, but each athlete must create and maintain their own account.

3. Age Requirements

The Services are intended for users who are at least 13 years old. Users under 18 must have consent from a parent, guardian, or authorized institutional representative. By creating an account, you represent that you meet these requirements.

4. Subscription Plans and Fees

A. Free Plan

APEX offers a free plan that includes core features such as workout building, roster management, workout assignment, and athlete progress tracking. The free plan is subject to feature limitations as described on our pricing page.

APEX reserves the right to modify free plan features at any time. We may also suspend or terminate free accounts after twelve (12) months of inactivity, with prior notice.

B. Paid Plans (Pro, Elite)

Paid subscription plans provide access to additional features as described on our pricing page. By subscribing to a paid plan, you agree to:

  • Pay the applicable subscription fees on a recurring basis (monthly or annual, as selected)
  • Provide valid payment information
  • Authorize APEX to charge your payment method on each billing cycle

Subscription fees are billed in advance. Prices are listed on our pricing page and may be updated with thirty (30) days' notice.

C. Athlete Nutrition

The nutrition feature is available as a separate purchase. Athletes may purchase nutrition access individually, or an institution may purchase it for their athletes under an Department plan. Nutrition subscriptions are billed separately from coach plan subscriptions.

D. Department Plans

Department plans are governed by a separate Subscription Agreement. Contact us for Department plan pricing and terms.

E. Cancellation

You may cancel your paid subscription at any time through your account settings or by contacting us. Upon cancellation:

  • Your subscription remains active through the end of the current billing period.
  • You will not be charged for subsequent billing periods.
  • Downgrade to the free plan features will take effect after the current billing period ends.

F. Refunds

Subscription fees are generally non-refundable. If you believe you have been charged in error, contact us at hello@apexcoachai.com within thirty (30) days of the charge.

5. Use of the Services

You may use the Services for lawful purposes only.

You agree not to:

  • Attempt to gain unauthorized access to systems or data
  • Interfere with Services functionality or security
  • Copy, scrape, or misuse content on the Services
  • Use the Services in violation of applicable law
  • Share account credentials with unauthorized parties
  • Use the Services to collect data for purposes unrelated to athletic performance, training, or nutrition
  • Resell or redistribute access to the Services

APEX may restrict or terminate access to the Services at any time for violation of these Terms.

6. Your Content and Data

A. Ownership

You retain ownership of the content you create, upload, or enter into the Services, including workouts, training programs, roster data, and athlete-entered information ("Your Content").

B. License to APEX

By using the Services, you grant APEX a worldwide, non-exclusive, royalty-free license to use, process, store, and display Your Content solely to provide and maintain the Services for you.

Additionally, you grant APEX the right to use aggregated and de-identified data derived from Your Content — data that cannot reasonably be used to identify any individual — for product improvement, benchmarking, research, and AI model training. This license survives termination of your account with respect to data that has already been aggregated and de-identified.

C. Institutional Accounts

If your account is part of an Institutional Customer's Department plan, the institution's Subscription Agreement governs data rights and the license terms in that agreement supersede this section.

D. Portability

You may request an export of Your Content by contacting us at hello@apexcoachai.com.

7. Intellectual Property

All content on the Services, including branding, software, platform design, and proprietary materials, are the property of APEX Coach AI, Inc.

You may not:

  • Reproduce or distribute APEX content without permission
  • Use APEX trademarks without authorization
  • Reverse engineer any technical components of the platform

8. No Medical or Professional Advice

The APEX platform is designed to support athletic performance tracking, program management, and nutrition planning.

It is not a medical device and does not provide medical advice, diagnosis, or treatment. Nutrition features provide general information and are not a substitute for professional dietary or medical guidance.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available."

To the maximum extent permitted by law, APEX disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

10. Limitation of Liability

To the fullest extent permitted by law, APEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Services.

APEX's total liability for any claim arising from your use of the Services shall not exceed the total fees you paid to APEX in the twelve (12) months preceding the claim, or one hundred dollars ($100) if you are on the free plan.

Institutional platform liability is governed solely by the applicable Subscription Agreement.

11. Termination

APEX may suspend or terminate your access to the Services at any time if you violate these Terms. We may also terminate free accounts after extended periods of inactivity as described in Section 4.

Upon termination, your right to use the Services ceases immediately. Data retention and deletion following termination is governed by our Privacy Policy.

12. Modifications

APEX may update these Terms from time to time. The updated version will reflect a revised "Last Updated" date. For material changes, we will provide notice through the Services or by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
